Terms and Conditions of Sale
General Clause
All our sales are subject to these general conditions, which prevail over any purchase conditions unless otherwise agreed in writing and signed by us. They were updated on October 1, 2022, replace previous terms, and are subject to change without notice.
Confidentiality
Studies, plans, drawings, or documents provided or sent by C'51 remain its property. They cannot, under any circumstances, be shared with third parties for any reason, under penalty of damages.
Formation of the Contract
An order can only be registered and result in a C'51 order confirmation if:
- (i) A quote or PROFORMA invoice has been issued beforehand. It must be validated by returning it to the C'51 sales department dated, signed, and marked "approved" (mandatory for individuals). Our quotes are valid for 2 months from the date of issuance.
- (ii) It is duly written in the form of an Order Form on company letterhead with the name and signature of the applicant.
- (iii) All elements necessary for production have been provided to the C'51 sales department: feasibility studies and engraving diagrams dated, signed with the mention "approved"; equipment to be fitted in the case of an order for a plate to outfit equipment not supplied by C'51.
Lead Times
Given the artisanal method of made-to-order production, average production lead times are provided as an estimate and do not constitute a firm contractual commitment: 6 to 8 weeks minimum for standard equipment, with special equipment evaluated on a case-by-case basis.
Retention of Title
C'51 retains ownership of the goods sold until the full payment of the principal and ancillary amounts. Failure to pay any installment may result in the repossession of the goods by C'51.
Pricing and Payment Terms
The pricing schedule set by C'51 is tax-exclusive, in Euros, and clearly specifies its validity date. Any firm order must be accompanied by an initial payment of at least 50% of the total order value.
Guarantees
C'51 guarantees its products against any defect due to design, material, and/or manufacturing faults for a period of 24 months, provided that any apparent defect is reported upon receipt and any operating defect is reported within 7 days of delivery.
Automatic Termination Clause
In the event of a failure by either party to fulfill its obligations, the contract governed by these terms will be automatically terminated in favor of the other party. This termination will take effect 15 days after sending a formal notice.
Jurisdiction
Any dispute relating to the conclusion or execution of the contract must be submitted to the exclusive jurisdiction of the Paris Commercial Court.
Acceptance and Applicability
These general terms and conditions of sale constitute a contractual element. C'51's customers are deemed to have accepted them unless reservations are made at the time of ordering.
